Seller: Deadroom Ventures LLC, a Nevada limited liability company ("we"), which operates Proofwren. We sell to business customers in the United States only. Contact: hello@deadroomventures.com.
0. Who may buy
You confirm you are buying for a business purpose and that your billing address is in the United States.
1. What we offer
1.1 Free sheet. A downloadable Etsy seller fee and profit sheet, provided free under the license.
1.2 Spreadsheet audit. An automated check of an .xlsx workbook that produces a written report. A report states what the checks found at the time they ran.
1.3 Services. Workbook repair and dashboard builds, done to a written scope that you accept before paying. We offer no subscriptions.
1.4 Launch status. Paid checkout is not open yet. These terms apply from the day it opens.
2. What a report is and is not
2.1 A report is an operational review. It is not legal, security, tax, accounting or compliance advice, and it is not a certification, audit opinion or guarantee of any result.
2.2 The audit checks how a workbook is built. It cannot judge whether the model's logic is right. It uses LibreOffice to recalculate, which may calculate some functions differently from Excel. We do not promise that following a report will make a workbook correct or produce any financial result.
2.3 Using our products does not create a lawyer-client, accountant-client or other professional relationship. Checks run at one moment and on the inputs you give. Findings may be incomplete or wrong. You are responsible for deciding what to do.
2.4 Reports are produced by software checks. They contain no AI-written text today. If we add AI-written summaries, we will say so here and in the report, and software will check them for figures and promises. The findings table is the record.
3. Your files and data
3.1 You confirm you have the right to give us what you submit.
3.2 Do not send protected health information, payment card numbers, government ID numbers, passwords, secrets or private keys. We do not sign business associate agreements and are not set up to receive regulated data.
3.3 We process submissions only to produce your report or deliver your service.
3.4 We delete uploaded files within 30 days of delivery. Reports contain data derived from your files. We keep a copy and an audit log for 12 months, then delete them, or earlier on request unless the law requires us to keep them. You may ask for earlier deletion at hello@deadroomventures.com.
3.5 We never execute macros or code inside your files. Files that contain macros, or that exceed our size limits, are refused.
3.6 We do not sell your data. The privacy page lists the kinds of processors we use. We use reasonable technical and organisational measures; no system is perfectly secure. We will tell affected customers of a confirmed breach without undue delay.
3.7 If you are in a US state with a privacy law, a data processing addendum is available on request.
4. Payment and refunds
4.1 Prices are shown before you pay. Audits and services are paid in full before delivery or start.
4.2 Refunds are set out on the refund page. Refunds go to the original payment method.
4.3 Taxes are added where required.
5. Services
5.1 A written scope states the deliverables, the inputs we need from you, what is out of scope, the price and the timeline. Work starts when you accept the scope and pay.
5.2 We may stop and refund the unearned part if your inputs are unusable or a request is outside the scope. Changes to scope are agreed in writing.
5.3 Delivery is complete when we send the work. You have 5 business days to tell us about a material defect against the scope, and we will correct it or refund the affected part. That is your only remedy for a defect in a deliverable.
5.4 We do not make any statement in a deliverable as a lawyer, accountant or other licensed professional.
6. Ownership and license
6.1 You own the report or work we deliver to you and may share it inside your business and with your advisers.
6.2 We own the sheet, the checks, the templates and the methods. The free sheet is licensed to you under the license.
7. Warranty disclaimer and liability
7.1 EVERYTHING IS PROVIDED "AS IS". TO THE EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PURPOSE AND NON-INFRINGEMENT.
7.2 TO THE EXTENT THE LAW ALLOWS, WE ARE NOT LIABLE FOR LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION OR INDIRECT, SPECIAL OR CONSEQUENTIAL DAMAGES.
7.3 Nothing in these terms limits liability for fraud, willful misconduct or gross negligence, or any liability that cannot lawfully be limited. Otherwise our total liability for all claims about a product or service is limited to the fees you paid for it in the 12 months before the first claim. For the free sheet, which has no fee, our liability is limited to the extent the law allows.
7.4 You are responsible for claims that your submission infringes or breaches someone else's rights.
8. Acceptable use
You will not use our products to break the law or to submit files you have no right to give us. We may refuse or end service for misuse.
9. Confidentiality
We treat what you send as confidential and use it only as stated above. This does not cover information that is public or that we receive from others lawfully.
10. Changes and disputes
10.1 We may update these terms. The version in force when you buy applies to that purchase.
10.2 Nevada law governs. Disputes go first to a good-faith attempt to resolve by email for 30 days. Nothing in these terms limits what you may say in a review or comment about us.
